Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using BuildCycle (the "Service"), a project management application for architects and engineers, operated by BuildCycle.io ("us", "we", or "our"). This Service is available on web, iOS, and Android platforms.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service, including on behalf of an organization.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Service.

Note: This is a sample Terms of Service based on standard templates and best practices for SaaS applications. It is not legal advice, and we recommend consulting with a qualified attorney to customize it for your specific jurisdiction and business needs.

1. Definitions

For the purposes of these Terms:

Account
means a unique account created for you to access our Service.
Content
means any data, text, files, photos, information, or other materials uploaded, posted, or stored by you or on your behalf through the Service, including project documents, progress photos, user information, organization files, and related workflow data.
Organization
means a company, firm, or entity that uses the Service in a multi-tenant capacity, where multiple users may be associated with it.
Service
means the BuildCycle project management application, including its features for tracking document progress, recording project updates via photos, managing users and organizations, and storing files in a multi-tenant environment.
You or User
means the individual accessing or using the Service, or the Organization or other legal entity on behalf of which such individual is accessing or using the Service.

2. Acceptance of Terms

By creating an Account, uploading Content, or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an Organization, you represent that you have the authority to bind that Organization to these Terms.

We may update these Terms from time to time. We will notify you of any material changes via email or in-app notifications. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. We do not knowingly collect information from minors.

3. Account Registration and Security

To access certain features of the Service, you must create an Account using accurate and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

In a multi-tenant setup, Organization administrators may invite users, manage access levels, and control Organization-specific Content. You agree to notify us immediately of any unauthorized access or use of your Account.

We reserve the right to refuse registration, suspend, or terminate Accounts at our discretion, particularly for violations of these Terms.

4. Description of Service

The Service provides tools for architects, engineers, and related professionals to manage projects, including:

  • Uploading and tracking PDFs, documents, and photos for workflow progress.
  • Managing user and Organization information.
  • Storing and organizing files in a secure, multi-tenant environment where data is logically separated between Organizations.
  • Cross-platform access via web, iOS, and Android apps.

We use third-party services like Supabase for authentication and database management, and Cloudflare for hosting and storage (e.g., R2 for files). Your use of the Service is subject to the terms of these third-party providers where applicable.

5. User Content and Licenses

You retain ownership of all Content you upload to the Service, including files, photos, user information, and Organization data. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for technical purposes), distribute, and display your Content solely to provide and improve the Service.

You represent and warrant that:

  • You have all necessary rights to upload and share your Content.
  • Your Content does not violate any laws, infringe third-party rights (e.g., intellectual property, privacy), or contain harmful material (e.g., viruses).

We are not responsible for your Content but may remove or restrict access to it if it violates these Terms or applicable laws. In our multi-tenant architecture, we ensure logical data separation, but you are responsible for managing access within your Organization.

We perform regular backups, but you agree to maintain your own backups of Content. We are not liable for any loss or corruption of data.

6. Intellectual Property

The Service, including its software, design, trademarks, and features (excluding your Content), is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, reverse-engineer, or create derivative works from the Service without our prior written consent.

7. Prohibited Activities

You agree not to:

  • Use the Service for any illegal purpose or in violation of any law.
  • Upload Content that is defamatory, obscene, harassing, or infringing.
  • Attempt to gain unauthorized access to other Accounts, Organizations, or our systems.
  • Introduce viruses, malware, or other harmful code.
  • Use the Service to spam, phish, or engage in unsolicited advertising.
  • Interfere with the Service's operation or other users' enjoyment.
  • Share Account credentials or allow unauthorized access, especially across Organizations in our multi-tenant environment.

Violations may result in immediate termination of your Account and legal action.

8. Fees and Payments

The Service may require payment for certain features or tiers. Pricing, billing cycles, and payment methods are detailed in your Account or on our website. All fees are non-refundable unless stated otherwise. We may change pricing with notice.

You authorize us to charge your provided payment method for recurring fees. Late payments may incur fees or suspension.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including user data and Content. By using the Service, you consent to such processing.

In our multi-tenant setup, we implement measures to separate data between Organizations, but you are responsible for complying with data protection laws (e.g., GDPR, CCPA) applicable to your use.

10. Termination

You may terminate your Account at any time by contacting us or through Account settings. Upon termination, your access ceases, and we may delete your Content after a reasonable period.

We may terminate or suspend your Account immediately, without notice, for breaches of these Terms, non-payment, or other reasons. Surviving provisions (e.g., ownership, liability) continue post-termination.

11. Disclaimers and Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure operation, nor the accuracy of any Content or project management outcomes.

12. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim, or $100 if no fees were paid.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your Content, use of the Service, or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Oklahoma, USA, without regard to conflict of laws principles.

Any disputes shall be resolved through binding arbitration in accordance with American Arbitration Association rules. You waive any right to class actions.

15. Miscellaneous

  • Severability: If any provision is invalid, the remainder remains in effect.
  • Entire Agreement: These Terms constitute the full agreement, superseding prior communications.
  • Assignment: You may not assign these Terms without our consent; we may assign freely.
  • Force Majeure: We are not liable for delays due to events beyond our control.
  • Notices: Communications will be via email or in-app.
  • Changes: We may modify the Service or these Terms with notice.
